Terms of Service

1. Acceptance of Terms

Right Hand is operated by Austin Santee Consulting LLC. By accessing or using Right Hand ("the Service," "we," "our," or "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. These terms apply to all contractors, users, and any person who interacts with a Right Hand-powered phone number.

2. Description of Service

Right Hand is an AI-powered business operations platform for independent trade contractors. The Service includes:

• A dedicated local business SMS/MMS phone number
• AI-assisted message classification, photo analysis, and auto-replies (powered by Google Gemini)
• Job pipeline management and milestone tracking
• Invoice creation, delivery, and payment tracking
• Proposal creation and delivery by SMS
• Google Calendar integration for job scheduling
• QuickBooks Online integration for accounting sync
• Stripe Connect integration for card payment processing
• A web dashboard for managing jobs, messages, contacts, invoices, and settings

4. Account Registration

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 18 years old, legally authorized to operate a business, and have the authority to enter into these Terms. You agree to notify us immediately at support@textrighthand.com of any unauthorized use of your account.

5. Acceptable Use

You agree not to use Right Hand to:

• Send spam, unsolicited commercial messages, or bulk marketing texts
• Harass, threaten, defame, or deceive any person
• Violate any applicable laws or regulations, including the TCPA, CAN-SPAM Act, or CCPA
• Impersonate any person, entity, or business
• Transmit illegal, harmful, or fraudulent content
• Attempt to gain unauthorized access to the Service or any related systems
• Reverse engineer, decompile, or extract source code from the Service
• Use the Service to operate a competing product or benchmark against competitors without permission
• Upload or transmit malware, viruses, or any harmful code
• Violate the rights of any third party, including intellectual property or privacy rights

Violation of this section may result in immediate account suspension or termination without refund, and may be reported to applicable law enforcement.

6. AI-Generated Content

Right Hand uses Google Gemini to generate SMS replies and analyze MMS images on your behalf. By using the Service, you acknowledge and agree that:

• AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate.
• You are solely responsible for reviewing AI-generated content before it is sent, particularly when using Draft Mode.
• You take full ownership and responsibility for all messages sent through your Right Hand account, whether AI-generated or manually composed.
• Right Hand is not liable for any damages arising from AI-generated content, including errors in job details, pricing, scheduling, or technical information.
• Message content and images you receive may be transmitted to Google's API for processing per Google's terms of service.

7. Fees, Billing, and Payments

Right Hand offers free and paid subscription tiers. The following billing terms apply:

• Subscription fees are charged in advance on a monthly or annual basis. Current pricing is available at textrighthand.com/pricing.
• Transaction fees apply to card payments processed through Stripe Connect on your behalf (0.5% on the Free plan, 0.25% on Pro, 0% on Team). These are deducted automatically from each transaction.
• All fees are non-refundable unless required by law or explicitly stated otherwise. Partial-month cancellations are not refunded.
• Stripe's fees (typically 2.9% + 30¢ per card transaction) are separate from Right Hand's transaction fees and are charged by Stripe directly.
• We reserve the right to change pricing with at least 30 days' notice to registered users. Continued use after the effective date constitutes acceptance of new pricing.

8. Third-Party Integrations

Right Hand integrates with third-party services including Twilio, Google, Stripe, and Intuit QuickBooks. Your use of these integrations is subject to those providers' own terms and privacy policies. Right Hand is not responsible for the availability, accuracy, or actions of any third-party service. Disruptions to third-party services may affect Right Hand functionality without creating liability on our part.

9. Intellectual Property

Right Hand, its software, design, trademarks, and all platform content are owned by Right Hand and protected by applicable intellectual property laws. You retain full ownership of your business data — contacts, jobs, messages, and invoices — entered into the platform. You grant Right Hand a limited license to process and store your data solely for the purpose of providing the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless Right Hand and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) any messages sent through your Right Hand account; (d) your violation of any third-party rights; or (e) any claim that your use of the Service caused harm to a third party.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RIGHT HAND EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI RESPONSES WILL BE ACCURATE, TIMELY, OR APPROPRIATE FOR ANY PARTICULAR PURPOSE. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIGHT HAND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR MISSED JOBS OR LEADS — EVEN IF RIGHT HAND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL RIGHT HAND'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO RIGHT HAND IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Force Majeure

Right Hand shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications outages, third-party service failures (including Twilio, Google, or Stripe), or government actions.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, abuse, or at our discretion with reasonable notice. You may cancel your account at any time by emailing support@textrighthand.com. Upon termination, your right to use the Service ceases immediately. Sections 9–15 survive termination.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), rather than in court.

Class action waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Right Hand individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

This arbitration agreement does not apply to claims for injunctive or equitable relief to protect intellectual property rights, or to small claims court actions within applicable jurisdictional limits.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. To the extent arbitration does not apply, any legal action shall be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

17. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice via email or in-app notification before the revised Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Right Hand regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect.
